1. Acceptance of Terms

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time.

2. Description of Service

Dr Urls is an SEO intelligence platform that provides:

• Automated website crawling and technical SEO auditing
• Backlink and referring domain analysis
• SEO health scoring and prioritized recommendations
• Issue detection and categorization
• Reporting and analytics dashboards
• Team collaboration and role-based access control

The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice for material changes.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 16 years old to create an account. One person or organization may not maintain more than one free account. We reserve the right to suspend or terminate accounts that violate these requirements.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Abuse the Service: Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
• Reverse engineer: Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code or underlying algorithms of the Service.
• Circumvent rate limits: Bypass or attempt to bypass any rate limiting, throttling, or usage restrictions imposed by the Service.
• Resell without authorization: Resell, sublicense, or redistribute the Service or its output without our prior written consent, except as expressly permitted by your subscription plan.
• Violate crawling ethics: Use the Service to scan websites in a manner that violates the target website's terms of service, robots.txt directives, or applicable laws. You represent that you have the right to scan any website you submit to the Service.
• Interfere with operations: Upload malicious code, introduce viruses, or take any action that could disable, overburden, or impair the proper functioning of the Service.
• Scrape or harvest: Use automated means to extract data from the Service for purposes other than your authorized use of the platform.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

5. Subscription & Billing

5.1 Plans & Payment

The Service is offered under various subscription plans, which may include free tiers with limited features. Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are quoted in euros (EUR) unless otherwise stated and are exclusive of applicable taxes.

5.2 Payment Processing

Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees to your chosen payment method. You are responsible for keeping your payment information current.

5.3 Refund Policy

We offer a 14-day money-back guarantee for new paid subscriptions. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial purchase. Refund requests should be sent to billing@drurls.com. After the 14-day period, fees are non-refundable. Downgrades or cancellations take effect at the end of the current billing period.

5.4 Price Changes

We may adjust pricing from time to time. We will provide at least 30 days' advance notice of any price increase. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its source code, algorithms, scoring methodologies, user interface, design, documentation, and all related intellectual property rights, are and shall remain the exclusive property of Dr Urls. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it in accordance with these Terms and your subscription plan.

6.2 Your Data

You retain all rights to the data you provide to the Service and the scan results generated from your websites. We claim no ownership over your content or data. You grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. By using the Service, you consent to the data practices described in the Privacy Policy. For enterprise customers, we offer Data Processing Agreements (DPAs) upon request. 8. Availability & SLA

We strive to maintain 99.9% uptime for the Service and will make commercially reasonable efforts to ensure the Service is available and performant. However, we do not guarantee uninterrupted or error-free operation.

The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security patches
• Force majeure events beyond our reasonable control
• Third-party service provider outages

Enterprise customers may be eligible for formal Service Level Agreements with defined uptime commitments and service credits. Contact our sales team for details.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DR URLS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your data or transmissions

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred euros (EUR 100). This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

10. Indemnification

You agree to defend, indemnify, and hold harmless Dr Urls and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, property, or privacy right; or (d) any claim that your use of the Service caused damage to a third party, including websites you submitted for scanning.

11. Termination

Either party may terminate these Terms at any time:

• By you: You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
• By us: We may suspend or terminate your access to the Service immediately if you materially breach these Terms, or with 30 days' notice for any other reason.

Upon termination, your right to use the Service ceases immediately. You will have a 30-day data export period during which you may download your scan data and reports. After this period, we will delete your data in accordance with our Privacy Policy.

Sections that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France and applicable European Union regulations, without regard to conflict of law principles. For consumers residing in the EU, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence.

13. Dispute Resolution

In the event of any dispute arising from or relating to these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days from written notice of the dispute.

If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of Paris, France, except where mandatory consumer protection laws require otherwise.

EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Provide at least 30 days' advance notice via email and/or a prominent notice within the Service
• Update the "Last updated" date at the top of these Terms
• Provide a summary of the changes

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
